1. About These Terms

These Terms and Conditions ("Terms") govern your access to and use of the website www.eaxisdigital.com and the services provided by EAXIS Digital Intelligence ("we", "us", "our"). By accessing our website or engaging our services, you agree to these Terms.

Nothing in these Terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) that cannot lawfully be excluded or limited.

2. Our Services

EAXIS Digital Intelligence provides digital consulting services including:

• Custom web design and development
• Search Engine Optimisation (SEO)
• AI-powered process automation
• Cybersecurity consulting
• Digital strategy and data analytics

Indicative pricing (in AUD, GST not applicable — not registered for GST):

• Web Design: from AUD 2,500
• SEO Packages: from AUD 800 / month
• Automation Consulting: from AUD 1,500
• Cybersecurity Audit: from AUD 2,000

Final pricing is confirmed in a written quote or service agreement prior to engagement. EAXIS Digital Intelligence is not currently registered for GST; no GST is added to invoices.

3. Consumer Guarantees (ACL)

Under the Australian Consumer Law, consumers have guaranteed rights when acquiring services, including that services will be rendered with due care and skill, will be fit for the particular purpose made known to us, and will be delivered within a reasonable time (where no time is agreed). These guarantees cannot be excluded.

Where a service failure is a major failure, you are entitled to cancel the service contract and receive a refund, or compensation for the reduction in value of the service below the price paid. Where a failure does not amount to a major failure, you are entitled to request a remedy for the failure within a reasonable time.

4. Payment and Invoicing

Payment terms are as agreed in each service agreement or quote. Unless otherwise specified, invoices are payable within 14 days of issue. Prices are in AUD. EAXIS Digital Intelligence (ABN 52 376 183 380) is not currently registered for GST; invoices will not include GST. If GST registration status changes, clients will be notified. Late payments may attract interest as agreed in writing.

5. Intellectual Property

All deliverables created for you will, upon full payment, be assigned to you unless otherwise agreed in writing. All pre-existing intellectual property (including our methodologies, templates and tools) remains the property of EAXIS Digital Intelligence. We grant you a non-exclusive licence to use any pre-existing IP incorporated into your deliverables for your business purposes.

6. Limitation of Liability

To the extent permitted by law and subject to your statutory rights under the ACL, our liability for any loss or damage arising from breach of these Terms or negligence is limited to the amount paid by you for the relevant services in the 3 months preceding the claim.

We are not liable for indirect, incidental, special or consequential loss (including loss of revenue, profits or business opportunity), except where such liability cannot be excluded under the ACL.

7. Dispute Resolution

If a dispute arises, the parties agree to first attempt to resolve it through good-faith negotiation. If unresolved within 30 days, the parties agree to refer the matter to mediation before a mediator agreed between the parties, or as appointed by the Australian Disputes Centre (adc.gov.au).

Nothing in this clause prevents a party from seeking urgent injunctive or declaratory relief from a court of competent jurisdiction. Australian Consumer Law complaints may also be directed to the ACCC (accc.gov.au) or your state fair trading office.

8. Termination

Either party may terminate a service engagement by providing 14 days written notice, unless otherwise agreed. Upon termination, you are liable for fees for services performed up to the date of termination. We reserve the right to terminate immediately for material breach.

9. Privacy

We handle personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth).

10. Governing Law

These Terms are governed by the laws of Western Australia and the Commonwealth of Australia. The parties submit to the non-exclusive jurisdiction of the courts of Western Australia.

11. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be effective upon posting on this page. Continued use of our services after changes are posted constitutes your acceptance.
